MTN Nigeria Targets $5.2Bn from Listing in July

MTN plans to list its Nigerian unit worth $5.23 billion by July in a debut IPO on the Lagos bourse and will raise fresh funds to reduce debt, according to pre-IPO presentation seen by Reuters.

 

MTN aims to raise at least $400 million from the IPO to pay preference shareholders and is preparing to file application to the Securities and Exchange Commission (SEC) to launch the offer after getting approvals from existing investors last week, sources with knowledge of the matter said.

 

Nigeria’s biggest telecoms operator plans to go on roadshow between May and June 2018, according to the presentation and list on Nigeria’s bourse between June and July. It will now need to appoint professional parties to the offer.

MTN Nigeria has around 402 million shares in issue, the same amount in preference shares, which it sold at $0.99 in 2007.

 

As part of the IPO it would split one share into 50 units, to create 20 billion shares, which would be listed on the bourse and set the IPO price via book building.

MTN declined to comment on the IPO.

IPOs dried up in Nigeria after a 2008 crash wiped more than 60 percent off the stock market’s capitalization.

 

The index has since recovered, gaining 42.3 percent last year and 11 percent so far this year but IPOs have yet to resume.

MTN shares are currently traded over-the-counter in Nigeria at $13, giving it a market value of $5.23 billion, down from $25 billion in 2015 before a Nigerian government fine, sources said.

 

The company would use the proceeds of the share sale to redeem preference shares issued to existing investors who bought the shares 11-years ago and also cut its dollar exposure.

 

MTN wants to achieve a “retail friendly” offer price for the IPO, it said in the pre-IPO document, of around 80 naira per share, the average price for shares listed on Nigeria’s bourse.

And it would split its nominal value to 2 kobo from one naira. South Africa’s MTN owns more than 70 percent of MTN Nigeria, which has under 300 existing shareholders.

Africa’s biggest mobile phone operator had planned to list its Nigerian unit in 2017, part of an agreement with the government, but delayed the IPO due to market conditions.

 

The telecoms firm has now revived those plans and is considering hiring a public relations firm to manage communications ahead of the listing in Nigeria in addition to its South African advisers.

In 2016 the telecom firm said it would list its local unit on the Nigerian Stock Exchange, in a settlement with the Nigerian government over unregistered SIM cards that cost it $1.7 billion fine.

 

Citigroup and Stanbic IBTC Bank is advising MTN Nigeria.

Nwosu explained that every laptop undergoes comprehensive testing before delivery and comes with a one-year warranty, an original charger, a complimentary laptop bag, Windows 11 operating system and Microsoft Office Suite pre-installed.

He added that the company, an authorised Bitdefender Antivirus reseller in Nigeria, also installs genuine Bitdefender security software on every system to protect customers against cyber threats.

According to him, customers requiring additional productivity tools can also have licensed Foxit PDF software installed on their devices.

Nwosu said the flexible payment option was introduced in response to prevailing economic realities, enabling customers to spread payments over an agreed period.

The agency made the call at the 20th Nigeria Computer Society (NCS) International Conference 2026, held in Jos, Plateau State, where stakeholders examined strategies for leveraging emerging technologies to strengthen national development.

Speaking on behalf of the Director-General of NITDA, Mr Kashifu Inuwa, the agency’s Director of Stakeholders Management and Partnerships, Dr Aristotle Onumo, said Nigeria’s digital transformation would depend on sustained investment in innovation, digital skills, research and strategic partnerships.

According to him, collaboration across the public and private sectors is essential to translate emerging technologies into practical solutions capable of improving governance, creating jobs and enhancing the country’s global competitiveness.

Onumo said NITDA remained committed to implementing its Strategic Roadmap and Action Plan through initiatives that promote digital literacy, research and development, innovation ecosystems, cyber sovereignty and emerging technologies.

He added that the agency was expanding opportunities for innovators, entrepreneurs and startups through platforms designed to encourage collaboration, investment and technology-driven enterprise.

“We are transforming Digital Nigeria into the nation’s foremost innovation platform where policymakers, investors, startups, researchers and technology companies can collaborate to accelerate economic growth and digital transformation,” he said.

He urged innovators, startup founders and technology professionals to participate actively in the forthcoming Builders Summit by showcasing indigenous solutions capable of addressing Nigeria’s development challenges.

Declaring the conference open, the Governor of Plateau State, Mr Caleb Mutfwang, described digital technology as a critical driver of governance and economic development.

Mutfwang said his administration had adopted digital solutions to improve public service delivery, modernise government operations and enhance internally generated revenue.

He also identified technology as a key enabler for agricultural transformation, increased productivity and improved food security, urging participants to ensure that deliberations at the conference translate into practical outcomes for national development.

Earlier, the President of the Nigeria Computer Society (NCS), Prof. Muhammad Sirajo, said the conference was organised to strengthen collaboration among policymakers, researchers, regulators, technology professionals and industry leaders.

Sirajo said the conference, with the theme “Harnessing Digital Innovation and Emerging Technologies for Inclusive Growth and Economic Renaissance (RISE 2026),” focused on exploring how innovation could accelerate Nigeria’s socio-economic development.

He identified artificial intelligence, blockchain, cloud computing, cybersecurity and robotics as among the technologies shaping the future of economies across the world.

According to him, Nigeria’s youthful population and expanding digital ecosystem provide a strong foundation for building a globally competitive economy through sustained investment in digital infrastructure, innovation and skills development.

The conference attracted government officials, regulators, academics, development partners, technology professionals and private-sector stakeholders to deliberate on policies and innovations aimed at accelerating Nigeria’s digital transformation and inclusive economic renaissance.
